LICENSE AGREEMENT
MODKEY (also referred to as MDK, mdk, MODKEY, modkey, Modkey, or modKey)

Effective date: June 3, 2025

1. GENERAL PROVISIONS
1.1. This License Agreement (the "Agreement") is a legally binding document between ModKey (the "Company") and any individual or legal entity (the "User") that uses the Company's products, services, data, APIs, documentation, technologies, or other materials (the "Materials").
1.2. Any use of the Materials without the Company's express written permission is strictly prohibited.
1.3. Violation of this Agreement may result in the maximum liability permitted by law.

2. PROHIBITED USE OF DATA
2.1. Absolute prohibition:

All data, including but not limited to source code, databases, API responses, documentation, graphics, logos, configurations, user data, metadata, and technical specifications (the "Data"), is protected by this Agreement.

The following actions are prohibited:

Copying, downloading, storing, transmitting, publishing, distributing, modifying, decompiling, reverse engineering, or using the Data for commercial or non-commercial purposes, including AI training, software development, or research.

Extracting Data through bots, scripts, automated systems, or manual means.

Creating derivative products based on the Company's Data.
2.2. Exceptions:

The Data may be used only with express written permission from an official Company representative on signed Company letterhead. Verbal agreements are invalid.

3. INTELLECTUAL PROPERTY
3.1. All Data is the exclusive property of the Company and is protected by international copyright, patent, and trade secret laws.
3.2. The User receives no rights to the Data, even when access to it has been granted.

4. CONFIDENTIALITY AND PROTECTION
4.1. User obligations:

Do not attempt to access other users' data, systems, or restricted areas.

Do not store, cache, or transmit Data to third parties.

Immediately report any vulnerabilities or leaks to the Company.
4.2. Company measures:

Monitoring of all activity involving the Data.

Automatic suspension of access when a violation is suspected.

5. LIABILITY AND PENALTIES
5.1. Violations of this Agreement may result in:

Civil claims seeking compensation for damages, with a minimum of USD 100,000 for each violation.

Criminal prosecution for data theft and commercial espionage.

Public notice of the violation.
5.2. The Company may require deletion of all copied Data and derivative products.

6. ADDITIONAL TERMS
6.1. No warranties: the Data is provided "as is," without warranties of accuracy or availability.
6.2. Changes: the Company may impose stricter terms without prior notice. A new version takes effect when published.
6.3. Jurisdiction: disputes shall be resolved by the court at the Company's place of registration. The laws of the Russian Federation apply.

7. ACCEPTANCE
7.1. Any use of ModKey Materials constitutes unconditional acceptance of every provision of this Agreement.
